Position Description:

Senior Corporate Paralegal Specialist (10+ Years)

Our client, a leading global law firm, is seeking an experienced Corporate Paralegal Specialist to support its corporate practice. This role involves working closely with attorneys and clients on a wide range of transactional and entity management matters.

Location

Multiple office locations available, including major U.S. markets, with a hybrid work arrangement.


Key Responsibilities

  • Maintain and manage capitalization tables, stock ledgers, and option records (experience with tools such as Carta or similar platforms preferred)
  • Prepare and file Section 16 filings and assist with SEC-related matters
  • Draft and organize corporate documents, including formation documents, amendments, consents, merger documents, and closing deliverables
  • Assist with entity formation (corporations, LLCs, nonprofit entities)
  • Support transactional work, including mergers, acquisitions, and financings
  • Conduct UCC searches and prepare related filings
  • Manage corporate records, including minute books and annual reports
  • Assist with due diligence and data room management
  • Coordinate closing logistics, including preparation of closing books and signature packets
  • Perform Blue Sky research and filings
  • Support basic transfer agent functions, including stock issuances and transfers

Qualifications

  • Minimum 10+ years of corporate paralegal experience within a law firm or similar environment
  • Strong understanding of corporate law, including familiarity with federal securities laws and key state corporate statutes (e.g., Delaware and California)
  • Experience managing complex transactions and large document workflows
  • Advanced organizational, analytical, and project management skills
  • Excellent written and verbal communication skills
  • Ability to work independently while supporting multiple attorneys across offices
  • Proficiency with legal technology tools, document management platforms, and data rooms

Education & Certification:

  • Bachelor’s degree and/or Paralegal Certificate preferred
  • Must meet applicable state paralegal requirements (where applicable)

Compensation & Benefits

  • Hourly range: approximately $56.92 – $86.16, depending on experience and location
  • Overtime eligibility in accordance with applicable laws
