Position Description:
Our client, a well‑established national law firm, is seeking a highly motivated mid‑level associate to join its Corporate practice. This is an excellent opportunity for an attorney who enjoys the breadth and variety of a general corporate practice, with exposure to securities, lending, and transactional matters.
The role is ideally based in Chicago and offers a hybrid work arrangement.
Position Overview
The ideal candidate will have at least five years of law firm experience with a strong background in mergers and acquisitions, securities matters, and/or lending transactions. This role offers the opportunity to work on complex, high‑value transactions while collaborating closely with senior attorneys and mentoring junior team members.
Key Responsibilities
- Advise clients on a wide range of corporate matters, including mergers and acquisitions, private securities offerings, and corporate governance
- Draft and negotiate transactional documents, such as purchase agreements, shareholder agreements, and confidentiality agreements
- Conduct due diligence and prepare detailed reports for clients
- Manage and oversee junior associates and paralegals on transactional matters
- Collaborate with cross‑functional teams to ensure efficient deal execution
- Stay current on legal and regulatory developments to provide proactive, strategic guidance
- Represent clients in negotiations and, where applicable, dispute resolution processes
- Support public company compliance matters, including federal securities regulations, as needed
Qualifications
- J.D. from an accredited law school
- Minimum of 5 years of law firm experience in mergers and acquisitions and/or related corporate work
- Strong knowledge of corporate law, securities regulations, and governance principles
- Excellent drafting, negotiation, and analytical skills
- Proven ability to manage multiple complex transactions simultaneously
- Strong interpersonal and communication skills
- Ability to work both independently and collaboratively in a fast‑paced environment
- Active bar admission in the jurisdiction of practice
Compensation & Benefits
- Estimated base salary range: $285,000 – $305,000 (for Chicago-based candidates)
- Final compensation will depend on experience, qualifications, and other relevant factors
