Position Description:
About the Role
A growing transactional practice is seeking an Associate Attorney with 2–4 years of experience to support a sophisticated corporate and health care transactions practice. This role offers significant responsibility, direct client interaction, and hands-on experience with M&A transactions, strategic partnerships, corporate governance matters, and complex commercial agreements.
Key Responsibilities
- Support mergers, acquisitions, divestitures, and joint ventures from diligence through closing.
- Draft, review, and negotiate transaction documents and commercial agreements.
- Conduct legal due diligence and manage transaction workstreams.
- Advise on corporate governance, entity formation, and restructuring matters.
- Analyze regulatory issues affecting transactions and business relationships.
- Coordinate closings and collaborate with clients, opposing counsel, and advisors.
- Participate in client development and business growth initiatives.
Qualifications
- J.D. from an accredited law school.
- 2–4 years of corporate, M&A, transactional, or health care law experience.
- Strong drafting, negotiation, analytical, and communication skills.
- Excellent organizational and project management abilities.
- Licensed and in good standing in at least one U.S. jurisdiction.
Preferred
- Experience with health care, life sciences, or other regulated industries.
- Familiarity with health care regulatory issues and transactional diligence.
- Desire to build a long-term transactional practice with increasing client responsibility.
