Position Description:
Corporate & Securities Associate
Our client, a nationally recognized law firm, is seeking a mid- to senior-level Corporate & Securities Associate (4th-7th year) to join its Corporate Practice. This opportunity is available in multiple office locations across the firm's national platform.This is an excellent opportunity for an attorney with significant capital markets and securities experience who is looking to work on sophisticated public and private financing transactions while advising emerging growth companies, public corporations, financial institutions, and other market participants.
Responsibilities
- Advise clients on a broad range of capital markets and securities transactions
- Represent issuers, underwriters, investors, and other market participants in:
- Initial Public Offerings (IPOs)
- Secondary offerings
- Private placements
- Debt offerings
- Bond issuances
- Securitization transactions
- Assist clients with securities law compliance and public company reporting obligations
- Draft and negotiate offering documents and transaction agreements
- Conduct due diligence and manage transaction workstreams
- Coordinate with specialists across tax, finance, regulatory, and other practice areas
- Work directly with clients on strategic capital-raising initiatives and corporate transactions
- Manage multiple sophisticated matters in a fast-paced environment
Qualifications
- J.D. from an accredited law school
- Active bar membership in good standing in the jurisdiction where the candidate intends to practice
- Approximately 4-7 years of corporate and securities experience
- Significant experience handling:
- Capital markets transactions
- IPOs
- Public securities offerings
- Private placements
- Debt and structured finance transactions
- Strong academic credentials
- Excellent legal research, drafting, and analytical skills
- Outstanding written and oral communication abilities
- Strong project management and organizational skills
- Ability to work collaboratively while independently managing sophisticated transactions

Compensation & Benefits
- Base Salary: $275,000 – $355,000 annually
