Position Description:
Our client, a nationally recognized law firm with a broad corporate and securities practice, is seeking a mid-level to senior Corporate & Securities Associate to join its team. This opportunity is available in multiple office locations and offers the chance to work on sophisticated capital markets transactions for a diverse client base ranging from emerging growth companies to established public companies.
The ideal candidate will have significant experience advising companies on a variety of securities offerings and capital markets transactions, along with strong academic credentials and exceptional communication skills.
Key Responsibilities
- Advise public and private companies on capital markets transactions and securities law matters.
- Represent issuers, underwriters, and other market participants in:
- Initial Public Offerings (IPOs)
- Follow-on and secondary offerings
- Private placements
- Debt offerings and bond issuances
- Securitization transactions
- Assist clients with ongoing securities law compliance and public company reporting obligations.
- Draft and review registration statements, offering documents, disclosure materials, and transaction agreements.
- Conduct legal due diligence and assist in transaction management and execution.
- Advise clients on corporate governance and securities regulatory matters.
- Collaborate with attorneys across practice areas to provide strategic, business-focused legal advice.
- Maintain strong client relationships and contribute to the overall success of corporate transactions.
Qualifications
- J.D. from an accredited law school.
- Active bar admission and good standing in the jurisdiction where the attorney will practice.
- Approximately 4–7 years of corporate and securities law experience.
- Significant experience advising on capital markets transactions, including IPOs, secondary offerings, private placements, debt offerings, and securitizations.
- Strong academic credentials.
- Excellent research, drafting, analytical, and negotiation skills.
- Outstanding written and verbal communication abilities.
- Ability to manage multiple complex transactions and deadlines in a fast-paced environment.
- Strong client-service mindset and collaborative approach.
Compensation
Expected base salary range: $275,000 – $355,000 annually
Actual compensation will be based on factors including experience, qualifications, bar admissions, and overall fit for the role.
In addition to base compensation, associates may be eligible for bonus opportunities, including performance, productivity, business development, and merit-based incentives.
