Position Description:

Corporate Paralegal – Corporate Transactions & Finance

Our client, a leading national law firm, is seeking an experienced Corporate Paralegal to support its Corporate Transactions and Finance practice. This hybrid position offers the opportunity to work on sophisticated corporate, finance, securities, regulatory, and transactional matters while partnering closely with attorneys and clients.

The ideal candidate will have substantial transactional experience, exceptional organizational skills, and the ability to manage multiple complex matters in a fast-paced legal environment.

Responsibilities

Corporate Governance

  • Assist with entity formations and corporate maintenance matters
  • Draft and maintain governing documents and corporate records
  • Prepare corporate resolutions, consents, bylaws, stock certificates, and related organizational documents

Finance & Lending Transactions

  • Support secured and unsecured financing transactions
  • Assist with preparation and review of:
    • Credit agreements
    • Security agreements
    • Pledge agreements
    • Indentures
    • Payoff documentation
  • Conduct and summarize UCC, bankruptcy, and lien searches
  • Prepare and file UCC financing statements, amendments, continuations, and terminations

Securities & Regulatory Matters

  • Assist with public and private securities offerings
  • Prepare and coordinate filing of:
    • Registration statements
    • Periodic reports
    • Form D filings
    • Blue Sky filings
    • Form ADV filings
    • Beneficial ownership filings
    • FATCA and CRS compliance documentation

Investment & Fund Matters

  • Review investor subscription documents for completeness and accuracy
  • Track investor onboarding processes
  • Coordinate anti-money laundering (AML) and know-your-customer (KYC) documentation
  • Maintain fund tracking schedules and investor records

Transaction Management

  • Support pre-closing, closing, and post-closing activities for:
    • Mergers and acquisitions
    • Joint ventures
    • Financing transactions
    • Strategic investments
  • Manage closing checklists and transaction deliverables
  • Coordinate execution and delivery of closing documents
  • Assist with data room management and document organization

Compliance & Licensing

  • Assist with regulatory compliance and reporting requirements
  • Review and track licenses, permits, and regulatory filings
  • Research filing requirements and coordinate applications with clients and government agencies
  • Maintain compliance databases and related records

Client & Administrative Support

  • Communicate directly with clients regarding transaction and compliance matters
  • Draft ancillary transactional documents under attorney supervision
  • Maintain calendars, deadlines, and transaction tracking schedules
  • Consistently meet billable hour expectations

Qualifications

  • Bachelor's degree in Legal Studies or another field with substantial law-related coursework, or
  • ABA-approved Paralegal Certificate, or
  • Qualification under applicable California paralegal requirements
  • Minimum 5 years of paralegal experience in a law firm or professional services environment
  • Experience supporting corporate transactions, finance matters, securities work, or investment fund activity
  • Strong drafting, organizational, and project management skills
  • Excellent attention to detail and analytical abilities
  • Ability to independently manage multiple priorities and deadlines
  • Strong written and verbal communication skills
  • Ability to maintain strict confidentiality and exercise sound judgment

Technical Skills

Experience with or proficiency in:

  • Microsoft Office Suite
  • Excel
  • DocuSign
  • EDGAR filing platforms
  • Carta
  • Corporate and transactional management systems
  • Document management systems and virtual data rooms

Compensation & Benefits

Salary Range (San Francisco / Silicon Valley):

  • $116,500 – $174,800 annually

Compensation is based on experience, qualifications, location, and internal equity considerations.
