Position Description:

Technology & Life Sciences Associate

Our client, an elite global law firm, is seeking a Technology & Life Sciences Associate with 3+ years of experience to join its market-leading Technology & Life Sciences practice in California.
This is an outstanding opportunity for an attorney interested in sophisticated life sciences transactions involving strategic collaborations, licensing arrangements, commercial agreements, and transactional intellectual property matters. The successful candidate will advise innovative biotechnology, pharmaceutical, medical device, and life sciences companies on complex domestic and cross-border transactions.
Responsibilities
  • Advise life sciences and technology companies on a broad range of strategic transactions
  • Draft, review, and negotiate:
    • Collaboration agreements
    • Licensing agreements
    • Co-development agreements
    • Commercialization agreements
    • Research agreements
    • Clinical trial agreements
    • Manufacturing and supply agreements
    • Master services agreements
  • Support domestic and cross-border partnering transactions within the life sciences sector
  • Provide intellectual property transaction support for:
    • Mergers and acquisitions
    • Capital markets transactions
    • Royalty monetization transactions
    • Strategic investments
  • Conduct due diligence and assist with transaction structuring
  • Work closely with corporate, intellectual property, tax, and regulatory teams on multidisciplinary matters
  • Advise clients regarding commercialization, development, and strategic growth initiatives
Qualifications
  • J.D. from an accredited law school
  • Active California Bar membership or eligibility to obtain admission promptly
  • 3+ years of experience in a large law firm environment
  • Significant experience with:
    • Life sciences partnering transactions
    • Licensing agreements
    • Collaboration agreements
    • Commercial life sciences contracts
    • Intellectual property transactions
  • Strong drafting, negotiation, and project-management skills
  • Excellent analytical, communication, and client-service abilities
  • Ability to manage multiple sophisticated transactions simultaneously
Preferred Qualifications
  • Undergraduate or graduate degree in a scientific discipline
  • Biotechnology, pharmaceutical, or life sciences industry experience
  • Medical device experience
  • Experience supporting complex IP aspects of M&A and financing transactions
  • Cross-border transactional experience
