Position Description:
Our client, a nationally recognized law firm, is seeking an experienced Employee Benefits & Executive Compensation attorney with 8+ years of law firm experience. Title, schedule, and billable expectations may be flexible for the right candidate.
This role offers the opportunity to advise sophisticated clients on a broad range of employee benefits, executive compensation, and ERISA matters, including significant involvement in mergers, acquisitions, divestitures, and other corporate transactions.
Responsibilities
- Advise clients on employee benefits and executive compensation issues in connection with M&A transactions.
- Research and analyze ERISA, tax, and regulatory issues affecting retirement plans, welfare plans, fringe benefit programs, and executive compensation arrangements.
- Counsel clients regarding legislative and regulatory developments and compliance strategies.
- Conduct benefits and compensation due diligence for corporate transactions.
- Review purchase agreements and assist with plan terminations, benefits integration, and transaction-related employee benefit matters.
- Draft employment agreements, executive compensation arrangements, equity incentive plans, phantom equity plans, and transaction bonus agreements.
- Prepare IRS and Department of Labor correction program filings.
- Advise clients on ESOP transactions and ongoing administration.
- Counsel clients regarding Internal Revenue Code Section 409A compliance.
Qualifications
- 8+ years of employee benefits and executive compensation experience in a law firm setting.
- Strong knowledge of ERISA, tax-qualified retirement plans, welfare benefit plans, executive compensation, and corporate transactions.
- Experience supporting mergers, acquisitions, and divestitures.
- Excellent drafting, analytical, and client counseling skills.
- Portable business is not required.
