Position Description:
Our client, a premier global law firm, is seeking a Private Funds Associate to join its Asset Management practice. This opportunity is ideal for an attorney with three to six years of experience advising private investment funds and their sponsors on fund formation, structuring, governance, and operational matters.
The successful candidate will work closely with sophisticated fund sponsors, institutional investors, and cross-functional legal teams on a broad range of private investment vehicles, including private equity funds, hedge funds, credit funds, venture capital funds, and other alternative investment structures.
Key Responsibilities
- Advise clients on the formation, structuring, and operation of private investment funds across a variety of asset classes and investment strategies.
- Draft and negotiate fund formation documents, including:
- Limited Partnership Agreements
- Subscription Agreements
- Private Placement Memoranda
- Investor Side Letters
- Advisory Committee Agreements
- Counsel fund sponsors and institutional investors regarding governance structures, economic arrangements, management fees, carried interest, and co-investment opportunities.
- Provide guidance on regulatory compliance matters, including:
- Investment Advisers Act
- Investment Company Act
- Securities Act
- Securities Exchange Act
- Advise on registration and exemption analyses, anti-money laundering requirements, and regulatory filings.
- Conduct due diligence reviews of fund documents, organizational materials, and third-party service provider agreements.
- Support fund restructurings, secondary transactions, continuation fund vehicles, and fund wind-downs.
- Review investor communications and marketing materials for compliance with applicable regulations and advertising requirements.
- Draft and negotiate management company and general partner organizational documents.
- Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions.
- Monitor and communicate developments affecting the private funds industry and regulatory landscape.
- Manage multiple client matters simultaneously while maintaining exceptional attention to detail.
- Mentor and provide guidance to junior attorneys as part of a collaborative team environment.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Admission to the applicable state bar, or eligibility to obtain admission promptly.
- Three to six years of substantive private funds experience at a nationally recognized or international law firm.
- Strong knowledge of securities laws and regulations, including:
- Securities Act of 1933
- Securities Exchange Act of 1934
- Investment Advisers Act of 1940
- Investment Company Act of 1940
- Demonstrated experience drafting and negotiating private fund formation documents.
- Understanding of private fund economics, including management fee structures, carried interest, waterfall calculations, and investor reporting obligations.
- Excellent analytical, organizational, drafting, and negotiation skills.
- Strong written and verbal communication abilities.
- Ability to manage multiple priorities in a fast-paced environment.
- Collaborative mindset and commitment to client service excellence.
- Experience mentoring junior attorneys is preferred.
- Familiarity with utilizing emerging technologies, including AI tools, in a responsible and ethical manner to enhance legal work product and workflow efficiency.
