Position Description:
Our client is seeking a mid-level Capital Markets/M&A associate to join its Corporate M&A and Securities Practice in Houston. The ideal candidate will have 3–5 years of experience handling a broad range of capital markets transactions, as well as public company reporting and compliance matters.

Key Responsibilities & Experience:

  • Representing issuers in public and private offerings of debt and equity securities
  • Advising public companies on SEC compliance, disclosure obligations, and corporate governance matters
  • Preparing and reviewing Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements
  • Interfacing with the SEC and other regulatory bodies
  • Supporting public and private M&A transactions (experience in this area is a strong plus)

Qualifications:

  • 3–5 years of relevant experience
  • Juris Doctor (JD) from an ABA-accredited law school with strong academic credentials
  • Experience at a large regional, national, or international law firm is preferred
  • Strong interpersonal and communication skills, along with sound business judgment and maturity
  • Ability to effectively manage client relationships and work collaboratively across teams
  • Licensed in Texas or eligible to become licensed
  • Must be based in or willing to relocate to the Houston area prior to start
