Position Description:

Corporate Associate (M&A, Emerging Companies & Venture Capital)

Our client, a nationally recognized law firm, is seeking junior to mid-level Corporate Associates (1-5 years) to join its Corporate Practice in Seattle, San Francisco, or Portland.
This is an exciting opportunity for an attorney interested in working on a broad range of sophisticated transactional matters, including middle-market mergers and acquisitions, venture capital financings, emerging company representation, corporate governance, and private equity transactions. Associates will work closely with experienced partners and clients while gaining significant responsibility throughout the lifecycle of complex transactions.
Responsibilities
  • Advise private companies, investors, founders, and private equity sponsors on a variety of corporate transactions
  • Assist with middle-market M&A transactions, including:
    • Platform acquisitions
    • Add-on acquisitions
    • Sale transactions
    • Joint ventures
    • Strategic investments
  • Represent emerging growth companies throughout the company lifecycle
  • Advise founders and companies on:
    • Entity formation
    • Corporate governance
    • General corporate matters
    • Business growth and strategic planning
  • Represent companies and investors in venture capital financings, including:
    • Seed financings
    • Series A financings
    • Growth-stage financings
  • Draft and negotiate:
    • Purchase agreements
    • Transaction documents
    • Financing documents
    • Disclosure schedules
    • Ancillary agreements
    • Corporate governance documents
  • Conduct and manage legal due diligence reviews
  • Coordinate transaction workstreams and closing processes
  • Work closely with management teams, investors, sponsors, and founders
  • Collaborate with attorneys across multiple disciplines, including:
    • Tax
    • Intellectual Property

Qualifications
  • J.D. from an accredited law school
  • Admission to practice, or eligibility for admission, in the applicable jurisdiction
  • 1-5 years of corporate transactional experience
  • Experience with one or more of the following:
    • Mergers & Acquisitions
    • Emerging Companies & Venture Capital (ECVC)
    • Venture financings
    • Private equity transactions
    • General corporate representation
  • Strong drafting, negotiation, and analytical skills
  • Excellent written and verbal communication abilities
  • Strong organizational and project management skills
  • Ability to manage multiple transactions and deadlines simultaneously
  • Interest in working with private companies, investors, and founders
