Position Description:
Corporate Associate (M&A, Venture Capital & Securities)
Our client, an Am Law 100 law firm, is seeking a Corporate Associate with 2-4 years of transactional experience to join its rapidly growing Corporate Practice in San Francisco.This is an exceptional opportunity for an attorney interested in advising innovative companies, entrepreneurs, investors, and strategic acquirers across the technology, artificial intelligence, life sciences, financial services, and energy sectors. The successful candidate will gain hands-on experience handling sophisticated transactions while working directly with clients and senior attorneys in a highly collaborative environment.
Responsibilities
- Advise private companies, founders, investors, and strategic buyers on a broad range of corporate transactions
- Support and manage:
- Mergers and acquisitions
- Venture capital financings
- Growth equity investments
- Securities transactions
- Corporate governance matters
- Draft and negotiate:
- Purchase agreements
- Financing documents
- Disclosure schedules
- Corporate governance documents
- Ancillary transaction agreements
- Conduct transactional due diligence and manage diligence workstreams
- Coordinate transaction processes from structuring through closing
- Advise emerging companies throughout all stages of growth and development
- Work closely with clients, management teams, investors, and outside advisors
- Collaborate with attorneys across tax, employment, intellectual property, privacy, and regulatory practices
Qualifications
- J.D. or LL.M. from an ABA-accredited law school
- Active California Bar admission or eligibility for admission
- 2-4 years of transactional experience
- Experience in one or more of the following areas:
- Mergers & Acquisitions
- Venture Capital
- Securities
- Growth Equity
- Private Equity (preferred but not required)
- Strong drafting, negotiation, analytical, and organizational skills
- Excellent written and verbal communication abilities
- Strong attention to detail and project-management skills
- Ability to work effectively in a collaborative team environment
- Strong business judgment and client-service orientation

Compensation & Benefits
- Base Salary: $235,000 – $310,000 annually
