Position Description:
Our client, a leading global law firm, is seeking a Capital Markets Associate to join its Corporate Practice in West Palm Beach. This is a full‑time position offering competitive compensation and an excellent benefits package. The role provides the opportunity to work with a diverse set of clients—from emerging companies to major international organizations—across multiple industries.
Job Requirements
Our client is seeking an associate with 2–3 years of experience in Capital Markets work, including:
- Public and private equity offerings (including IPOs and follow‑on offerings)
- Drafting proxy statements and S‑4 registration statements for business combination transactions
- Interfacing with the SEC and other regulatory bodies
- Familiarity with public company reporting obligations under the Exchange Act (Forms 10‑K, 10‑Q, 8‑K, and proxy statements)
- Experience representing both issuers and underwriters (preferred)
- Experience with SPAC transactions, including de‑SPAC matters (a plus)
- Day‑to‑day counseling of public companies on corporate governance issues
Candidates should bring:
- Strong academic credentials
- Excellent drafting and negotiation skills
- Effective client‑management abilities
An active Florida Bar admission or eligibility for admission is required.

- Rule 144A and Regulation S offerings
- Registered direct offerings and at‑the‑market (ATM) transactions

- SPAC and de‑SPAC transactions
- REIT offerings
- PIPE transactions
The team represents U.S. and international issuers, underwriters, financial institutions, venture capital funds, hedge funds, broker‑dealers, investment companies, and private investment firms across all aspects of securities offerings.
