Position Description:
Our client, a leading national law firm, is seeking an associate with 4–6 years of experience to join its Fund Formation & Investment Management practice. While the preferred location is Boston, the firm is also open to candidates based in Chicago, Dallas, or New York, with flexibility for other office locations depending on business needs and candidate experience.

This is an excellent opportunity to join a sophisticated and growing practice that advises both general partners and limited partners across the private funds landscape.


Position Overview

The ideal candidate will have strong experience advising private investment funds and asset managers on fund formation, structuring, and ongoing operational matters. This role offers exposure to a wide range of complex fund transactions and the opportunity to work closely with institutional investors and fund sponsors.


Key Responsibilities

  • Advise clients on fund formation and investment management matters, including fund and management company structuring
  • Negotiate with institutional investors, including pension plans, funds‑of‑funds, endowments, and foundations
  • Support secondary transactions involving limited partner interests (both buy‑ and sell‑side)
  • Assist with GP‑led restructurings and other complex fund transactions
  • Provide guidance on regulatory and compliance matters, including:
    • Investment Advisers Act requirements
    • Securities Act considerations relevant to private investment funds
  • Draft and negotiate fund documents and manage multi‑party, multi‑workstream transactions

Qualifications

  • 4–6 years of experience in fund formation and investment management
  • Strong experience with private fund structuring and sponsor/investor negotiations
  • Working knowledge of:
    • Investment Advisers Act registration
    • Regulatory compliance frameworks
    • Securities laws applicable to private funds
  • Excellent drafting, organizational, and matter‑management skills
  • Ability to manage sophisticated transactions with multiple stakeholders
  • Strong interpersonal skills and the ability to collaborate effectively with colleagues and clients
  • Proactive, detail‑oriented, and motivated to contribute to a high‑performing team

Education & Bar Requirements

  • JD from an ABA‑accredited law school
  • Active bar membership in good standing in at least one jurisdiction
  • Ability to obtain admission in the relevant office jurisdiction as needed

Compensation & Benefits

  • Expected base salary range: $290,000 – $390,000
  • Final compensation will be determined based on experience, qualifications, and internal equity considerations
