Position Description:
About the Role

A growing transactional practice is seeking an Associate Attorney with 2–4 years of experience to support a sophisticated corporate and health care transactions practice. This role offers significant responsibility, direct client interaction, and hands-on experience with M&A transactions, strategic partnerships, corporate governance matters, and complex commercial agreements.

Key Responsibilities

  • Support mergers, acquisitions, divestitures, and joint ventures from diligence through closing.
  • Draft, review, and negotiate transaction documents and commercial agreements.
  • Conduct legal due diligence and manage transaction workstreams.
  • Advise on corporate governance, entity formation, and restructuring matters.
  • Analyze regulatory issues affecting transactions and business relationships.
  • Coordinate closings and collaborate with clients, opposing counsel, and advisors.
  • Participate in client development and business growth initiatives.

Qualifications

  • J.D. from an accredited law school.
  • 2–4 years of corporate, M&A, transactional, or health care law experience.
  • Strong drafting, negotiation, analytical, and communication skills.
  • Excellent organizational and project management abilities.
  • Licensed and in good standing in at least one U.S. jurisdiction.

Preferred

  • Experience with health care, life sciences, or other regulated industries.
  • Familiarity with health care regulatory issues and transactional diligence.
  • Desire to build a long-term transactional practice with increasing client responsibility.
