Position Description:
Our client, a nationally recognized law firm, is seeking a mid-level Associate to join its Investment Management Practice Group in either New York or Dallas. This is an excellent opportunity for an attorney looking to work on sophisticated private fund formation, transactional, and regulatory matters within a highly regarded investment management practice.
The ideal candidate will have experience advising private fund sponsors, investment advisers, and institutional investors on the formation, structuring, and operation of private investment funds. Experience with private equity funds, real estate funds, hedge funds, and other alternative investment vehicles is preferred.
Key Responsibilities
- Advise private fund sponsors, investment advisers, and institutional investors on the formation, structuring, and operation of private investment funds.
- Draft, review, and negotiate fund formation documents and related investment management agreements.
- Counsel clients on regulatory matters affecting private funds and investment advisers.
- Assist with the formation and ongoing operation of private equity, real estate, hedge fund, and alternative investment structures.
- Advise clients on co-investment arrangements, secondary transactions, and separately managed accounts.
- Conduct legal research and analyze regulatory developments impacting the investment management industry.
- Collaborate with attorneys across corporate, tax, securities, and other practice areas to provide comprehensive client service.
- Manage multiple client matters while maintaining a high level of responsiveness and attention to detail.
Qualifications
- J.D. from an accredited law school.
- Admission to the applicable state bar.
- 3–5 years of experience in investment management, private funds, or related corporate practice.
- Experience with private fund formation and fund documentation.
- Working knowledge of the Investment Advisers Act and related investment management regulations.
- Experience advising on co-investments, secondary transactions, and separately managed accounts is a plus.
- Strong academic credentials.
- Excellent drafting, analytical, and communication skills.
- Exceptional organizational skills and attention to detail.
- Ability to work effectively in a collaborative, client-focused environment.
Compensation
Our client offers a competitive compensation package.
Expected annual base salary: $260,000 – $365,000, plus market-based bonus opportunities.
Actual compensation will depend on factors including experience, qualifications, skills, and geographic location.
