Position Description:

Mid-Level Mergers & Acquisitions (3-5yrs) – SF, SEA or POR

Our client, a leading national law firm, is seeking a midlevel associate (3–5 years) to join its Corporate practice, with a focus on middle-market mergers and acquisitions. This position is available in multiple West Coast offices.

This is an excellent opportunity to work within a growing transactional practice representing strategic buyers and sellers, private companies, and investors across a range of industries. The role offers significant exposure to sophisticated deal work, direct client interaction, and meaningful responsibility on transactions.

Responsibilities

  • Support a broad range of middle-market M&A transactions, including both buy-side and sell-side matters
  • Assist with transaction structuring, due diligence, negotiation, and closing processes
  • Draft and negotiate key transaction documents, including purchase agreements, disclosure schedules, ancillary documents, and closing deliverables
  • Coordinate and manage due diligence efforts and deal workstreams across internal teams
  • Advise clients on corporate governance and transactional matters in connection with M&A activity
  • Collaborate closely with partners, senior associates, and clients to manage deal timelines and execution
  • Work cross-functionally with attorneys in related practice areas such as tax, real estate, employment, intellectual property, and technology transactions

Qualifications

  • 3–5 years of M&A experience at a law firm
  • Experience working on private company transactions strongly preferred
  • Strong skills in drafting, negotiation, analysis, and organization
  • Ability to manage multiple workstreams in a fast-paced, team-oriented environment
  • Demonstrated interest in complex transactional work
  • J.D. from an accredited law school and admission (or eligibility) in the relevant jurisdiction

Compensation & Benefits
