Position Description:
Our client, a leading international law firm, is seeking a talented and motivated Private Equity Associate to join its growing Corporate practice in Chicago. This is an excellent opportunity for a mid-level associate with significant experience representing private equity sponsors and strategic investors in complex transactions.
The ideal candidate will have 3-5 years of experience advising private equity clients on acquisitions, dispositions, financings, and other corporate transactions. Candidates should be comfortable managing substantial portions of deals independently while working collaboratively with clients and colleagues in a fast-paced environment.
Responsibilities
Associates in this role will be expected to:
- Draft, review, and negotiate transaction documents, including purchase agreements, equityholder agreements, financing documents, and ancillary agreements.
- Conduct and coordinate legal due diligence for acquisitions, investments, and financing transactions.
- Advise clients on corporate governance, securities law, and regulatory compliance matters.
- Assist with the structuring and formation of investment vehicles and related entities.
- Counsel private equity sponsors and portfolio companies on day-to-day corporate matters and strategic transactions.
- Lead key aspects of transactions and effectively manage deal timelines and processes.
- Coordinate with attorneys across multiple practice groups to facilitate successful transaction execution.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Admission to practice law in Illinois, or eligibility to obtain admission promptly.
- 3-5 years of experience handling private equity transactions at a sophisticated law firm.
- Demonstrated experience representing private equity sponsors, portfolio companies, and/or strategic investors.
- Strong understanding of mergers and acquisitions, corporate governance, and securities law matters.
- Excellent drafting, negotiation, analytical, and communication skills.
- Experience utilizing legal technology and AI-enabled tools to support transactional workflows.
- Ability to manage multiple priorities independently in a deadline-driven environment.
- Strong academic credentials and attention to detail.
