Position Description:
Our client, a well-respected national law firm, is seeking a Corporate Associate (3-6 years experience) to join its Private Funds & Investment Services practice. This is an excellent opportunity to work with a collaborative team that advises investment advisers, private investment funds, and other sophisticated financial services clients on a wide range of regulatory, transactional, and compliance matters.
The practice offers a multidisciplinary platform that provides significant client exposure, hands-on responsibility, and opportunities to participate in business development initiatives. The firm is deeply committed to attorney development and offers a clear path for long-term career growth.Key Responsibilities
- Advise SEC-registered investment advisers and private investment funds on regulatory, compliance, and operational matters.
- Counsel clients regarding federal securities laws, including:
- Investment Advisers Act of 1940
- Investment Company Act of 1940
- Securities Act of 1933
- Assist with the formation, structuring, and ongoing operation of private investment funds, including private equity, venture capital, and real estate funds.
- Support transactional matters involving investment advisers and private funds, including M&A transactions, continuation vehicles, and secondary transactions.
- Manage multiple client matters simultaneously while delivering exceptional client service.
- Participate in client-facing activities and business development efforts.
Qualifications
- 3-6 years of corporate and securities law experience at a law firm.
- Significant experience representing SEC-registered investment advisers and private investment funds, particularly private equity, venture capital, and real estate funds.
- Experience handling regulatory and compliance matters under federal securities laws.
- Transactional and M&A experience involving investment advisers and/or private investment funds is preferred.
- Strong organizational skills with the ability to manage multiple matters and competing priorities.
- J.D. from an accredited law school with strong academic credentials.
- Admitted, or eligible for admission, in the applicable jurisdiction.
