Position Description:
Our client is seeking a senior securities and capital markets attorney to help lead a well‑established public company practice. This position is designed for an experienced lawyer who can manage sophisticated matters, serve as a trusted advisor to executives and boards, and gradually assume leadership of the securities practice as part of long‑term succession planning.

Core Experience
- ’34 Act reporting (10‑K, 10‑Q, 8‑K, proxy statements, Section 13/16 filings)
- Public‑company governance, compliance, insider trading policies, and stock‑exchange requirements
- Public‑company M&A, including proxy/registration statements and tender‑offer disclosures
- Private‑company capitalization and pre‑IPO preparedness
- Public and private offerings (IPOs, follow‑ons, ATMs, PIPEs, registered directs, Reg S/Rule 144A)
- Oversight of diligence, comfort procedures, blue‑sky/FINRA matters, and closing processes
What We’re Looking For
- 6–12 years of securities and capital markets experience
- Background in a sophisticated corporate or securities practice
- Strong leadership capabilities and interest in mentoring and managing teams
- Ability to work directly with executives and boards on complex issues
- Business‑development mindset; portable book is welcome but not required
- Active law license in Illinois or another U.S. jurisdiction (Illinois preferred or ability to waive in)
Location & Work Arrangement
- Chicago preferred; open to candidates in other locations
- Hybrid scheduling available
- Occasional travel for client meetings and business development
