Position Description:
 

Corporate Associate (Private Equity)

Our client, a leading international law firm, is seeking a Corporate Associate with 6+ years of transactional experience to join its Corporate Practice in San Francisco.

This is an excellent opportunity for an experienced corporate attorney to work on sophisticated private equity transactions, representing private equity sponsors, portfolio companies, management teams, and investors across a broad range of industries. The successful candidate will take on significant deal responsibility, direct client interaction, and leadership opportunities within a highly regarded transactional practice.

Responsibilities

  • Advise private equity sponsors and portfolio companies on complex corporate transactions
  • Lead and manage:
    • Private equity investments and divestitures
    • Platform and add-on acquisitions
    • Portfolio company transactions
    • Corporate governance matters
  • Draft and negotiate primary transaction documents
  • Oversee and conduct complex legal due diligence reviews
  • Manage transaction processes from structuring through closing
  • Coordinate multidisciplinary teams, including tax, finance, employment, regulatory, and other specialists
  • Supervise and mentor junior associates on transaction matters
  • Serve as a primary point of contact for clients and transaction participants
  • Provide advice regarding corporate governance and fiduciary duty issues

Qualifications

  • J.D. from an accredited law school
  • Active membership in good standing with the California Bar
  • Minimum 6 years of corporate transactional experience at a leading law firm
  • Significant experience in:
    • Private equity acquisitions and dispositions
    • Portfolio company transactions
    • Corporate governance matters
    • Complex M&A transactions
  • Experience drafting and negotiating principal transaction documents
  • Ability to independently manage transactions and client relationships
  • Excellent academic credentials
  • Strong drafting, analytical, negotiation, and communication skills
  • Demonstrated leadership and project management abilities

Preferred Experience

  • Representation of private equity sponsors and institutional investors
  • Cross-border transaction experience
  • Experience leading due diligence teams and transaction workstreams
  • Supervision and mentoring of junior attorneys
