Position Description:
Senior Corporate Paralegal
Our client, a leading international law firm, is seeking a Senior Corporate Paralegal to join its Seattle office. This is an exceptional opportunity for an experienced transactional paralegal to support sophisticated corporate, private equity, capital markets, and M&A matters while working alongside highly regarded attorneys and clients.The ideal candidate will have substantial corporate transactional experience and the ability to independently manage complex projects with minimal supervision.
Responsibilities
Corporate Governance & Entity Management
- Assist with the formation, maintenance, restructuring, and dissolution of business entities
- Prepare organizational and governance documents
- Maintain corporate records, minute books, and related corporate documentation
- Manage entity compliance matters and corporate housekeeping functions
Transactional Support
- Support sophisticated transactions, including:
- Mergers and acquisitions
- Private equity transactions
- Capital markets transactions
- Corporate financings
- Coordinate transaction closings and prepare closing documentation
- Manage signature collection processes and closing checklists
- Organize and maintain data rooms and transaction files
Securities & Regulatory Filings
- Draft and prepare corporate and securities filings
- Research and prepare Blue Sky filings and related state securities compliance documents
- Assist with public company and securities-related matters as needed
Due Diligence & Corporate Records
- Conduct due diligence reviews for transactions
- Organize and analyze corporate records
- Prepare diligence summaries and support transaction teams throughout the review process
Equity Administration
- Prepare stock certificates and equity-related documents
- Maintain capitalization tables
- Track stock options, warrants, and other equity instruments
- Support equity management systems and shareholder records
Legal Documentation
- Prepare legal opinions and supporting opinion documentation
- Draft ancillary corporate and transactional documents under attorney supervision
- Assist with transaction management from initiation through closing
Training & Team Support
- Provide mentorship and training to junior paralegals and case assistants
- Assist with workflow management and best practices initiatives
Qualifications
- Bachelor's degree required
- 5+ years of corporate transactional paralegal experience
- Significant experience in one or more of the following:
- Mergers & Acquisitions (M&A)
- Private Equity
- Capital Markets
- Corporate Governance
- Strong understanding of corporate entity structures and transactional processes
- Exceptional organizational and project management skills
- Ability to manage multiple deadlines and priorities simultaneously
- Strong attention to detail and commitment to accuracy
- Excellent verbal and written communication skills
- Ability to work independently and collaboratively
- Willingness to work overtime as required by transactional demands
Preferred Qualifications
- Prior law firm experience
- Experience using:
- Carta
- Shareworks
- Other equity management platforms
- Advanced Microsoft Excel skills
- Experience supporting sophisticated public and private company transactions

Compensation & Benefits
- Compensation Range: $45.00 – $65.00 per hour
- Annualized Range: Approximately $93,600 – $135,200
- Compensation based on experience, qualifications, and location
