Position Description:
Our client, a highly regarded law firm, is seeking a Securities & Public Companies Associate with 4-6 years of experience to join its Securities practice. The ideal candidate can sit in either Baltimore, Wilmington or Washington, D.C.  This opportunity is well suited for an attorney with substantive experience advising public companies on SEC reporting and disclosure, securities offerings, corporate governance, and compliance matters.

Key Responsibilities

• Advise public companies on disclosure and reporting requirements under the Securities Act of 1933 and Securities Exchange Act of 1934.
• Prepare and review Forms 10-K, 10-Q, and 8-K, proxy statements, and other SEC filings.
• Counsel public companies and insiders on Section 16 compliance, Forms 3, 4, and 5, short-swing profit rules, trading plans, and insider trading policies.
• Handle corporate governance matters, including board and committee resolutions, governance policies, and public company communications.
• Advise on public and private securities offerings and applicable national securities exchange listing requirements.

Qualifications

• J.D. from an accredited law school.
• 4-6 years of securities and public company experience.
• Strong knowledge of federal securities laws, SEC reporting and disclosure requirements, and public company governance.
• Bar admission in the applicable jurisdiction of practice.
• Strong academic credentials with excellent research, writing, and communication skills.

Preferred Qualifications

• Experience with broker-dealer and FINRA matters, investment advisers, and/or fund formation.
