Position Description:
Are you a corporate associate looking for more than just another deal team?

Our client, a nationally recognized Am Law 200 firm, is seeking a 4th to 6th year Corporate Associate to join its growing Corporate & Capital Markets practice in New York or Boston.

This is an exceptional opportunity to work on sophisticated public company and securities matters while developing meaningful client relationships and working directly with experienced partners. Associates are entrusted with substantive responsibility early in their careers and work closely with in-house counsel, executive management teams, and boards of directors on complex public company, securities, and capital markets matters.

With a collaborative, entrepreneurial culture and a lean staffing model, this practice provides attorneys with direct partner access, meaningful hands on experience, and the opportunity to build deep experience in SEC reporting, public company representation, capital markets transactions, mergers and acquisitions, corporate governance, and general corporate counseling. Associates work across a broad range of industries, including technology and life sciences, while building long term client relationships and assuming increasing responsibility.

Responsibilities

Advise public company clients on SEC reporting and ongoing securities law compliance.

Prepare and review Forms 10-K, 10-Q, 8-K, proxy statements, and other SEC filings.

Assist with capital markets transactions, including public and private securities offerings.

Support mergers and acquisitions and other strategic corporate transactions.

Advise clients on corporate governance matters and general corporate counseling.

Work directly with in-house counsel, executive management teams, and boards of directors.

Build long term client relationships while assuming increasing responsibility for sophisticated corporate and securities matters.

Collaborate closely with experienced partners across a broad range of industries, including technology and life sciences.

Qualifications

4 to 6 years of corporate experience at a comparable law firm.

Significant experience with SEC reporting and public company representation is required.

Experience with corporate securities matters.

Capital markets and M&A experience preferred.

Outstanding academic credentials.

Excellent written, analytical, and verbal communication skills.

J.D. required.

Active bar admission in New York or Massachusetts, or eligibility to obtain admission promptly.

Compensation

$285,000 to $350,000, commensurate with experience.
