Position Description:
Permanent Placements is seeking a Corporate Paralegal for a leading global law firm client.

What You’ll Be Doing
-
Maintain cap tables, stock ledgers, and equity records
-
Support entity formations across multiple jurisdictions
-
Prepare and file corporate documents, including state qualifications and amendments
-
Drive deal closings, including checklists, signature packets, and closing binders
-
Handle UCC searches and filings
-
Manage Blue Sky filings and related research

Maintain minute books and corporate records
-
Assist with SEC filings, including EDGAR Next and Section 16

Support due diligence and data room management

Coordinate across attorneys, clients, and third parties
What They’re Looking For
-
Corporate or transactional paralegal experience required
-
Hands-on experience with cap tables, closings, and entity management
-
Experience with Carta, Pulley, or similar software strongly preferred
-
Familiarity with SEC filings and EDGAR is a plus
-
Strong organizational skills with ability to manage high-volume work

Proficiency in Microsoft Office; legal research tools a plus
Qualifications

Bachelor’s degree and/or Paralegal Certificate preferred
-
1+ year of paralegal experience with degree/certification
-
OR 5+ years of relevant legal support experience
Location: San Diego, CA
Schedule:
-
First 60–90 days: Fully onsite for training and integration
-
After onboarding: 3 days onsite / 2 days remote
Compensation: $47.68 – $63.18 per hour depending on the candidate’s geographic market location + overtime + full benefits.
