Position Description:
Our client is seeking a Associate Attorney with 5 or more years of Corporate Mergers & Acquisitions experience. Candidates with experience at another AmLaw firm are preferred.
Specific areas of M&A expertise should include:
- Drafting, reviewing and negotiating merger agreements, stock purchase agreements, asset purchase agreements, letters of intent and related agreements. Experience with private equity transactions is a plus.
- Experience with partnership agreements, joint ventures and limited liability company operating agreements.
- Substantial responsibility for closing M&A and related transactions.
- Conducting due diligence reviews
- Experience with the Representation and Warranty Insurance underwriting process and related issues
- Advising clients on general corporate/entity matters and business matters
