Position Description:
Our client is seeking a tech-savvy Associate with 5-7 years of law firm or in-house experience to join its Commercial Technology and Data Transactions practice. The Associate will primarily work on drafting and negotiating a variety of complex technology and data related transactions, including software development and licensing, cloud computing, master services agreements, and similar agreements across a broad spectrum of industries and technologies, including financial technology services, healthcare, retail/e-commerce, transportation, energy, construction, hospitality, education and real estate. The associate will also work on various aspects of mergers & acquisitions, financings, and other multidisciplinary transactions.
Job Requirements:
- 5-7 years of relevant experience gained in law firm and/or in-house environments
- Experience drafting and negotiating a variety of complex technology, intellectual property, and data related commercial contracts, including software and data licensing, joint development agreements, cloud computing, master services agreements, end user license agreements, reseller and revenue sharing agreements, and similar agreements
- Experience with other technology matters, such as due diligence in connection with M&A, financings, and other corporate transactions (e.g., negotiating terms related to ownership and licensing, software development and integration, open source software issues, and IT and information security)
- Understanding of privacy and cybersecurity provisions in contracts, as well as familiarity with privacy laws (e.g. CCPA, GDPR), and website terms of use and privacy policies
- Strong analytical, drafting, and communication skills, including the ability to describe risks, opportunities, benefits, and other legal issues to clients in a proficient and personable manner
- Experience working cross-functionally to support commercial teams
